1. Introduction
These Terms and Conditions govern the sale of all tissue paper products, including but not limited to toilet paper, kitchen towels, and industrial rolls, by PPC Ltd. (“the Company”) to its customers. By placing an order with Punjab Paper Converters Limited (PPC), the customer agrees to be bound by these terms.
2. Definitions
- Customer: The person or entity purchasing goods from the Company.
- Goods: The products manufactured and supplied by the Company, including but not limited to bathroom tissue, kitchen towels, and industrial rolls.
- Order: The Customer’s request to purchase Goods from the Company.
3. Order Acceptance
- All Orders are subject to acceptance by the Company, which may be confirmed in writing, via email, or upon delivery of the Goods.
- The Company reserves the right to refuse or cancel any Order at its discretion without providing a reason.
4. Pricing
- Prices are quoted exclusive of VAT unless otherwise stated.
- The prices listed are subject to change without notice. The price applicable to an Order will be the one in effect at the time the Order is confirmed by the Company.
- Any additional charges (e.g., delivery fees, custom packaging) will be clearly communicated to the Customer before the Order is finalised.
5. Payment Terms
- Payment for Goods must be made in full within the timeframe specified on the invoice, which is typically 30 days from the invoice date.
- The Company reserves the right to suspend deliveries or cancel Orders if payment terms are not met.
6. Delivery and Risk
- Delivery dates provided by the Company are estimates only. The Company shall not be liable for any delays in delivery.
- The risk in the Goods passes to the Customer upon delivery to the specified address.
- Any damages or shortages must be reported to the Company within 48 hours of delivery.
7. Ownership and Title
- Title to the Goods remains with the Company until full payment for the Goods has been received. Until then, the Customer holds the Goods as bailee for the Company.
- In the event of non-payment, the Company reserves the right to reclaim the Goods.
8. Returns and Cancellations
The Customer must notify the Company of any request to cancel or modify an Order prior to dispatch. Once dispatched, Orders cannot be cancelled.
• Goods may only be returned with prior authorisation from the Company. Returned Goods must be in the original packaging and in resalable condition.
• Customised or private label products are non-returnable unless defective.
9. Warranties and Liabilities
- The Company warrants that its Goods will comply with industry standards and will be free from material defects for 12 months from the delivery date.
- If the Customer believes that any Goods are defective, they must notify the Company within 7 days of discovery.
- The Company’s liability is limited to the replacement of defective Goods or a refund, at the Company’s discretion.
- The Company is not liable for any indirect or consequential damages, including loss of profits or business.
10. Private Packaging Orders
- Customers who request private or custom packaging for their orders are subject to the following additional terms:
- Minimum Film Requirement: Private packaging orders must meet a minimum film requirement of 0.5 tonnes of packaging film. This applies to each custom design or private label order.
- Film and Origination Costs: All costs associated with the custom film for private packaging, including but not limited to design, production, material, and origination costs (such as plate setup, printing plates, and any other preparation needed for the production of custom packaging), shall be borne entirely by the Customer. The Company will provide an estimate of these costs before commencing production, which the Customer must approve in writing.
- Usage Period: The Customer must utilise the custom packaging film within three (3) months of receipt. Any film not used within this period may be subject to additional fees or may be disposed of at the Company’s discretion.
- Lead Time for Private Packaging: Custom packaging orders may require extended lead times due to the design, origination, and production of the packaging film. Estimated delivery times will be communicated to the Customer once the order is confirmed.
- Approval of Design: The Customer is responsible for approving the design and artwork for the private packaging. The Company will not commence production until the Customer provides written confirmation of approval. Any delays in approval may affect the delivery timeline.
- Returns and Cancellations: Once the custom packaging film has been produced, the order cannot be cancelled, and the Customer is responsible for the full payment of all associated costs. Private packaging products are non-returnable unless the Goods are found to be defective in materials or workmanship.
- Ownership of Film: The packaging film produced for private orders remains the property of the Customer once paid in full. The Company will store the film for future orders, but the Customer is responsible for any associated storage fees, if applicable.
11. Force Majeure
The Company shall not be liable for any failure or delay in fulfilling its obligations where such failure is caused by circumstances beyond its reasonable control, including but not limited to strikes, acts of God, natural disasters, or disruptions in supply chains.
12. Confidentiality
- The Customer agrees to keep any proprietary or confidential information disclosed by the Company strictly confidential.
- This obligation shall survive the termination of any Order or agreement.
13. Governing Law and Dispute Resolution
- These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
- Any disputes arising from or related to these Terms shall be resolved through arbitration before seeking judicial remedies.
14. Changes to Terms and Conditions
The Company reserves the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon being posted on the Company’s website or communicated to the Customer.
